Tonks West Constitution
ARTICLE I
NAME
This organization shall be known as Tonks West.
ARTICLE II
AFFILIATION
This organization shall be affiliated with The Cat Fanciers' Assn., Inc.
ARTICLE III
OBJECTIVES
The objectives of the organization shall be:
ARTICLE IV
MEMBERSHIP
Individuals who are interested in the advancement of the Tonkinese, and who fulfill the requirements set forth in Article I of the Bylaws, shall be eligible for membership.
ARTICLE V
DUES
| Section 1. | The annual dues of Tonks West are payable on or before January 1. Non-receipt of dues by March 1, will cause a member to be automatically removed from the membership rolls. |
| Section 2. | Dues for new members, prorated quarterly, are payable upon notification of election to membership. Thereafter, dues are payable as set forth in Section 1. |
ARTICLE VI
BOARD OF DIRECTORS
| Section 1. | The Board of Directors shall consist of seven members:
a. four elected Officers - President, Vice President, Secretary, and Treasurer, plus b. three elected Directors-at-Large |
| Section 2. | The President shall be the Chairperson of this Board. |
ARTICLE VII
MEETINGS
Regular and special meetings shall be held as provided in the Bylaws
ARTICLE VIII
AMENDMENTS
| Section 1. | This Constitution may be amended by the endorsement of a majority of members present or by proxy at any regular meeting of Tonks West and the subsequent ratification, with mail ballot, by the full membership. A two-thirds affirmative vote of the ballots cast shall be required to achieve ratification. |
| Section 2. | The Bylaws may be amended by a two-thirds affirmative vote of the
ballots cast at any regular meeting of Tonks West provided that:
a. the text of the amendment(s) shall have been supplied to each Regular Member at least fourteen (14) days prior to the meeting, and b. all other meeting requirements as set forth in the Constitution and Bylaws have been met. |
| Section 3. | The text of all approved amendments shall be submitted to the Executive Board of the Cat Fanciers' Association, Inc. |

Section 1 - Eligibility
| a. | Any person shall be eligible for Regular
membership in Tonks West (hereinafter referred to as The Club), who: - resides in Region 2 or 5 of the Cat Fanciers' Association; - is at least eighteen (18) years of age; and - endorses the objectives as outlined in the Constitution. Regular members shall have all rights consistent with the Constitution and Bylaws of The Club. |
| b. | Any other person who is interested in the Tonkinese breed and endorses the objectives of The Club as outlined in the Constitution shall be eligible for Associate membership. Associate members shall have all the rights of Regular members except the right to vote and/or hold office. |
| c. | Persons who sell, lease, or otherwise knowingly make available felines to pet shops, animal shelters, research laboratories or similar facilities are not eligible for membership. Current members of The Club are expressly prohibited from such activity. |
| a. | Application for Regular membership, signed by two Regular Members in good standing, must be submitted to the Secretary and voted upon at the next meeting. A two-thirds majority affirmative vote will constitute acceptance. |
| b. | Application for Associate membership must be submitted to the Secretary and voted upon at the next meeting. A simple majority affirmative vote will constitute acceptance. |
Section 3 - Member Commitment
| a. | All members shall enter into a written contract for the
sale, lease, or gift of any feline. Such contract shall include: - a spay/neuter agreement for all cats not sold for breeding, or acknowledgment that such procedure has previously been performed; - a requirement that cat be kept indoors only; and - a requirement that cat not be declawed. |
| b. | Regular members shall make every effort to attend scheduled meetings, and actively participate in Club business. |
| c. | Members elected to the Board of Directors as Officers who subsequently are unable to regularly attend meetings, shall be encouraged to resign from office so that Club business is not interrupted. |
| d. | All members shall be involved in special enterprises (Club sponsored shows, money raising projects, etc.) whenever possible. |
ARTICLE II
DUES
The annual dues of The Club shall be Fifteen Dollars ($15.00) per individual Regular Member and Fifteen Dollars ($15.00) per Associate Member household. Dues are payable as provided in the Constitution.
ARTICLE III
MEETINGS
Section l - Regular Meetings
Section 2 - Annual Meeting
The annual meeting for the election of the Board of Directors shall be held in the month of March.
Section 3 - Special Meetings
Special Meetings may be called at any time by the President or upon written request to the President by three or more Regular Members.
Section 4 - Quorum
A quorum for the transaction of business at a meeting shall consist of no less then five (5) Regular Members other than Officers, plus at least one Officer.
Section 5 - Proxy
| a. | Authority to act for an absent Regular Member must be presented as a written and signed proxy. |
| b. | Such proxy may either be specific (directing an approval or opposition vote on particular motions), or general (directing proxy holder to use best judgment at the time.) |
| c. | Each Regular Member may carry no more than two (2) proxies. |
| d. | Each proxy must state the date for which it is to be in effect. If permanent. it must be renewed at the beginning of each new calendar year. |
ARTICLE IV
ELECTIONS
Section I
An election committee shall be appointed at the January meeting. This committee shall develop a slate of candidates for the Board of Directors to be submitted to the membership at least fourteen (14) days prior to the annual meeting.
Section 2
The slate of candidates shall be voted on at the Annual Meeting
Section 3
Absentee ballots shall be accepted, provided they are in a sealed envelope with the member's signature on the outside, and are received by the Secretary on or before the date of the annual meeting.
Section 4
A vacancy occurring on the Board of Directors shall be filled by a vote of the remaining Board for the balance of the unexpired term.
ARTICLE V
EXECUTIVE DUTIES
Section 1 - Officers
| a. | The President shall be the chief executive Officer, shall preside at all meetings, and perform all duties consistent with the office. He/She shall be a member ex officio of all committees, and shall appoint such special committees as shall be necessary. |
| b. | The Vice President shall perform the duties of the President in his/her absence. |
| c. | The Secretary shall be the recording and corresponding officer, shall keep a record of all meetings, shall keep a roll of members with addresses, and shall inform applicants of election to membership. |
| d. | The Treasurer shall have custody of all monies of The Club, and shall book accounts of receipts and expenditures, rendering a report at each regular meeting and in the minutes. |
Section 2 - Board of Directors
| a. | The President shall be the chief executive Officer, shall preside at all meetings, and perform all duties consistent with the office. He/She shall be a member ex officio of all committees, and shall appoint such special committees as shall be necessary. |
| b. | The President, as Board Chair, shall use his/her own discretion as to the method used to conduct such business. |
| c. | Five members of the Board shall constitute a quorum for the transaction of this business. A simple majority will rule, except as elsewhere noted. |
ARTICLE VI
DISCIPLINE
The Board of Directors shall, by a two-thirds vote, reprimand, suspend, or expel from membership any person who, after a fair hearing of both accuser and accused, shall be found guilty of violating a rule of The Club, or of a fraudulent, dishonest act, or of conduct detrimental to the interests of The Club or the Tonkinese breed. Charges against any person must be made in writing and sent to the Board of Directors.
ARTICLE VII
CATTERY STANDARDS
The Club hereby adopts the CFA Cattery Standards.
ARTICLE VIII
AMENDMENTS
These Bylaws may be amended as provided in the Constitution
ARTICLE IX
PARLIAMENTARY PROCEDURE
Robert's Rules of Order, Newly Revised, shall be the authority in all questions of parliamentary law not covered by the Constitution and Bylaws of The Club.
ARTICLE X
DISSOLUTION
Section 1.
Dissolution will be deemed to have occurred when two-thirds of the membership elects to disband, or the Board has not been elected as provided in the Constitution
Section 2.
In the event The Club is dissolved, the remaining funds in The Club treasury, after all outstanding Club debts have been paid, shall be donated to the Robert H. Winn Foundation.
